Terms of Service
1. Parties & acceptance
These Terms of Service ("Terms") form a binding agreement between you ("you", "your", "customer") and Catalin Ionut Portan, independent developer based in Switzerland ("VerifyEat", "we", "us", "our").
By downloading, installing, or using the VerifyEat application, the verifyeat.com website, or any related service (together, the "Service"), you agree to these Terms. If you do not agree, do not use the Service.
2. License to use the app
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the VerifyEat macOS application on Macs you own or control, solely for your internal business or personal use.
You may not: (a) copy, redistribute, sublicense, rent, lease, or sell the Service; (b) reverse-engineer, decompile, or attempt to extract source code, except as permitted by mandatory law; (c) remove or alter any proprietary notices; (d) use the Service to build a competing product.
3. Account & subscription
The Mac app currently does not require a VerifyEat account. Paid access is managed through your Apple ID and the Mac App Store. You are responsible for keeping your Apple ID secure and for all activity that occurs under your account or installation.
4. Free trial
The Service includes a 3-day free trial. The trial runs entirely on your Mac and does not require a credit card. After the trial ends, paid features will be locked until you start a subscription. Existing local data (your menus and products) remains on your Mac and can be exported as JSON at any time.
5. Payment, renewal, cancellation
Paid subscriptions are billed monthly through the Mac App Store. Final prices, taxes, currency conversion, renewal, cancellation, and refund handling are managed by Apple and shown in the App Store purchase sheet before you confirm.
- Renewal. Subscriptions renew automatically each month unless you cancel before the renewal date.
- Cancellation. You can cancel anytime in your Apple ID subscription settings. Cancellation takes effect at the end of the current billing period.
- Refunds. App Store refund requests are handled by Apple through its standard refund process.
- Failed payment. If Apple reports that a subscription is no longer active, paid access may be locked until the issue is resolved.
- Price changes. Apple presents subscription price changes according to App Store rules before they take effect.
6. Your content & responsibility
VerifyEat is a presentation tool. You are solely responsible for every piece of information you publish using the Service, including:
- Ingredient lists, allergens, nutrition values, and serving weights.
- Product names, descriptions, prices, and translations.
- Photos, logos, and any other media you upload.
- Compliance with food labelling, allergen declaration, and consumer-protection laws in your jurisdiction.
We do not verify, audit, or guarantee the accuracy of menu data. You retain ownership of all content you create or upload ("Customer Content"). You grant us a limited license to host, transmit, and display that content solely as needed to provide the Service to you.
7. Acceptable use
You agree not to use the Service to:
- Publish false, misleading, or fraudulent information.
- Infringe any intellectual property, privacy, or other rights of third parties.
- Distribute malware, attempt to disrupt the Service, or probe its security without authorisation.
- Use AI translation features at a volume that materially exceeds normal restaurant usage (we reserve the right to apply fair-use limits).
- Resell or rebrand the Service to third parties.
8. Third-party services
The Service integrates with third-party providers — notably Anthropic for AI translations (using your own API key) and Apple for App Store subscription billing and purchase validation. Their respective terms and privacy policies apply when you use those features. We are not responsible for outages, errors, or policy changes of third-party providers.
9. Intellectual property
The Service, including all software, graphics, copy, logos, and design, is owned by VerifyEat and protected by Swiss and international copyright and trademark law. Nothing in these Terms transfers ownership to you, beyond the limited license granted in Section 2.
10. Warranties & disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.
Specifically, we do not warrant that:
- The Service will be error-free or always available.
- AI translations will be accurate, complete, or appropriate for any specific purpose.
- Data stored locally will never be lost — please keep your own backups.
11. Limitation of liability
To the maximum extent permitted by law, VerifyEat's total aggregate liability arising out of or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
In no event shall VerifyEat be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, customers, goodwill, data, or business opportunities — even if advised of the possibility of such damages.
Nothing in these Terms excludes liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded under Swiss law.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that creates legal or operational risk. Upon termination, your local data remains on your Mac. You may continue to access exported HTML files independently.
13. Changes to these terms
We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent version. Material changes will be announced on the website and, where reasonable, by email to active subscribers. Continued use after the effective date of the updated Terms constitutes acceptance.
14. Governing law & jurisdiction
These Terms are governed by the laws of Switzerland, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of the canton in which VerifyEat is registered, except where mandatory consumer-protection law in your country of residence provides otherwise.
